This End User License Agreement ("EULA") is a legal agreement between you ("you") and KodingKorp (Shivam Mathur, "we") for the Ovi desktop application, including any associated media, updates, and documentation (the "Software"). By installing or using the Software, you agree to be bound by this EULA.
1. License grant
Subject to your compliance with this EULA, we grant you a personal, non-exclusive, non-transferable, royalty-free license to install and use the Software on devices you own or control, for your own personal or internal commercial purposes.
2. Ownership and open-source components
The Software is licensed, not sold. KodingKorp retains all right, title, and interest in the Ovi-authored portions of the Software, including all intellectual property rights in those portions. The Ovi-authored portions are not open-source and no source code rights are granted by this EULA.
The Software bundles a number of open-source components (including but not limited to Tauri, React, the unified/remark/rehype Markdown pipeline, KaTeX, Mermaid, Shiki, DOMPurify, and PostHog's JavaScript SDK). Those components remain governed by their own licenses; this EULA does not attempt to override them. The current list, with versions and license notices, is in the Open-Source Notices section of our notices page.
3. Restrictions
You may not:
- Copy, redistribute, sublicense, sell, rent, or lease the Software, or host it for download by third parties.
- Reverse engineer, decompile, or disassemble the Software, except to the extent that this restriction is expressly prohibited by applicable law.
- Modify the Software or create derivative works based on it.
- Remove or alter any proprietary notices, labels, or marks in the Software.
- Use the Software to develop a competing product.
4. Updates
On Windows, macOS, and Omarchy, the Software includes an automatic update mechanism that contacts updater.getovi.in periodically to check for new versions. You may receive updated versions of the Software; updates are subject to this EULA unless an updated EULA accompanies the update.
5. Free of charge
The Software is currently provided free of charge. We reserve the right to introduce paid features, tiers, or successor versions in the future. Existing installations licensed under this EULA will remain usable; pricing changes do not retroactively revoke this license for the version you have installed.
6. No warranty
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SOFTWARE.
Until code-signing for our installer is in place, Microsoft Defender SmartScreen and similar reputation-based filters may warn about this publisher on Windows. This is a Windows security mechanism, not a defect in the Software. To report a suspected security issue in the Software itself, see the Security section of our notices page.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL KODINGKORP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, USE, OR PROFITS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE. OUR TOTAL LIABILITY UNDER THIS EULA WILL NOT EXCEED INR 1,000 (one thousand Indian rupees).
8. Termination
This EULA is effective until terminated. It will terminate automatically without notice if you fail to comply with any of its terms. On termination, you must stop using the Software and remove all copies from your devices.
9. Governing law
This EULA is governed by the laws of India, with exclusive venue in the courts of Noida, Uttar Pradesh, India, without regard to conflict-of-laws principles.
